Formation of Business Entities
The formation and registration of business legal entities, including sole proprietorships, partnerships, joint ventures, limited partnerships, limited liability partnerships, limited liability companies, regular corporations, “S” corporations, and professional corporations.
The preparation and review of contracts concerning the purchase or sale of a business, employment, restrictions on competition, consultants, sale representatives, merchandise distribution, marketing, terms and conditions of sale, purchase or leases of equipment, and other matters.
Services to minority-owned and women-owned businesses include legal entity formation, MBE/WBE certification, and joint ventures between MBE/WBE businesses and other businesses.
The preparation and review of promissory notes, mortgages, trust deeds, security agreements, guarantees and other loan documents; and the preparation and review of equity investments in a business.
Tax Return Preparation & Tax Planning
Tax return preparation services and tax planning services are provided for individuals, “S” corporations, trusts, estates, guardians, and not-for-profit organizations.
Tax Audits, Litigation & Collection
Representation of individuals, businesses and not-for-profit organizations in audits, litigation, and collection procedures, involving federal income taxes, federal payroll taxes, federal estate and gift taxes, federal penalties, state income taxes, state payroll taxes, state penalties, and municipal taxes. Representation of individuals facing personal liability for the unpaid taxes of their business or not-for-profit organization.
Real Estate Transactions
Representation of clients in the purchase, sale, financing, refinancing, or tax-free exchange, of residential and commercial real estate. Establishing legal entities for multiple investors in one property. The preparation, review and negotiation of leases for offices, stores, industrial buildings, and other commercial space. Referral of clients needing to appeal and reduce their real estate taxes to an attorney that specializes in this area and that worked for many years in the Cook County Assessor’s office.
Assisting individuals plan for the transfer of their assets during their lifetime and at their death, while minimizing gift and estate taxes. Includes the preparation of wills, revocable trusts, irrevocable trusts, beneficiary designations, powers of attorney for property, powers of attorney for health care, and other documents that implement the individual’s plans. Includes providing for disabled family members.
Assisting individuals upon the death of a family member, with the transfer of assets, and the payment of taxes and debts, by means of court-supervised probate, or by other means. Services include preparing and filing the required income tax returns. Also, representation of persons named in wills and trusts, to protect their interests.
Guardianship is the process of legally authorizing one person to care for an individual who cannot take care of himself/herself. Assisting individuals to become guardians for minors, and for elderly or disabled parents or other family members, and to comply with the all the legal requirements of being a guardian.
Representation of Not-for-Profit organizations in the following areas: legal formation, which includes the preparation of purposes, articles of incorporation, by-laws; applications for exemptions from income taxes and sales taxes; and the preparation of federal and state annual reporting forms for Not-for-Profit organizations. Representation also includes statutory restrictions on activities, fundraising, changes in structure, review of contracts, employee problems, office leases, purchase or sale of real estate, payroll taxes, and the unrelated business income tax.
